You may want to write a script utilizing ffmpeg (http://ffmpeg.mplayerhq.h
you can try Super not sure if it does batch processing

I use x264 inside MeGUI for archiving recorded shows from my TiVo. It's not completely automated but depending on how many files you plan to convert you might not have to invest any significant time.
For example, using preset templates for the avs script and encode options, it takes me about 60 seconds to setup each of my encodes. I then click the process queue button to let the conversions run overnight.
If you want to convert to divx then you can use Dr.Divx from http://labs.divx.com/DrDiv
Check out orb software (like the hardware SlingBox) at www.orb.com.
When you have Orb on your PC: You can stream music to your laptop
Select songs, make playlists, right from the laptop
ALL your music is available (and internet radio, podcasts, and videos)

I would check out handbrake. I'm pretty sure they have a command line version, so it should be batchable.
