Dell Latitude D620 Error Code

I have a Dell latitude d620 that boots EXTREMELY slow. I have replaced the HD, ran memtest, fresh install of xp pro. I ran the Dell diagnostics CD and the following error codes appear while in the L2 cache test mode. Error Code 5800:3022 unable to stop non boot processors. Two more error codes also appeared in the L2 cache with the the last four digits differentl, 0222 and 0422. I figured it was the processor. The laptop uses a Intel Duo core T2400. I purchased a Intel Duo T2500 and replaced the T2400. It booted just as slow. So, I ran the diagnostics CD again with the same error code results. Is it the cpu or motherboard? If you believe it is the mainboard. How hard are they to replace in a laptop? I have replace many desktop mainboards but, never a laptop. Any advice, suggestions or links are greatly appreciated.
