NVidia Network Controller Driver XP won't let me overwrite corrupt driver

I installed a NVidia MB and all of the drivers loaded without a problem except the network adapter I have xp home edition.
I am getting a Code 39 error.
I downloaded the correct driver from the web site but I can't get windows to let me overwrite it when I am going thru the steps with the device manager.
First I uninstall the adapter then reboot. Then it looks like plug and play sees the card, it asks me where to look for the new driver , I point it to the file and it says something to the effect, this file does not look any different than the one you already have. It does not ask me to replace it.
How can load the new driver ?
