PC Won't Boot To Winows XP PRO

Hello Ya'll,
I started fixing this computer because it restarted for no reason.  I ran it a couple hours and it wouldn't happen then I clicked to start a virus scan and it rebooted.  So now I figure its the power source and changed it.  But it still rebooted from time to time.  SO I changed the memory and then it all went down hill from there.  When I turned the system back on I immediately smelled burning so I shut it down.  The ram chip is shot but I don't know how to check the motherboard or anything it might have harmed.  It won't reboot.  I unplugged everything except the HD and it went to the second windows Xp screen and froze, I couldn't use the mouse or keyboard they froze as well.  Since then I've pulled the HD and ran it in another computer and tested it with Powermax (its Maxtor), all passed.  I put it back in the original puter and it freezes either on the 2nd Windows Screen or if I try Safe mode it stops at something called "mpu.sys" (I'm tired and not 100% with the name)
Its a Shuttle MB AV32N with a 2400 AMD CPU, I have currently 256 DDR 2100 and it is found in boot process.  I've unplugged the cdrom and cdrw, left the floppy in and tried to boot from the XP start up disk and it stops on disc 6 and just stays there.  When I did have the cdrom plugged in it sometimes stopped right after the RAM check.  If it does go to WinXP screen I've heard the beep during boot.  Also, after it restarts , I've shut it down to check the temperature and it reads 64 degrees.  So I don't suspect its heat related. I did install a new CPU heatsink in case and same results.  I did try a second HD that has just the Win2000 OS only and it froze in the Windows Startup attempt.  I guess you've figured by now I have just enough Knowledge to Harm things and actually fix some from time to time.  Hope this is enough info.
