How to install RNDIS drivers

Hi,
We are experiencing difficulty to make HP packet PC to connect with XP (SP 2) using Active Sync 3.7 or 3.8. In device manager we see that there is yellow (!) mark under Other devices->Generic RNDIS. So, I am trying to install drivers for it. I found some drivers at http://www.microsoft.com/whdc/device/network/NDIS/rndis.mspx, but it is not installing. Here is what i did: I saved on C drive, then from device manager clicked on Update driver. Afterward, located the folder where the drivers reside(RNDIS USB kit 2005\Drivers\x86fre\sys files). The OK buttom did not light up or it was not able to click. Then i copied RNDIS_Template.inf file from RNDIS USB kit 2005\INF Template folder to the sys files. Now i was able to click on OK when specifing the driver folder during driver update. But it gives "Cannot install this hardware". Any ideas on how to install driver for Generic RNDIS which I believe is the cause of failure to connect HP packet PC to the Computer.
