attempt to install WinXP, unsuccessful, memory lose 1MB everytime restart

Hi,
I just put together my computer.
I bought P2.8Ghz, Kingstone ValueRam Dual kit (256mb x 2) DDR PC-3200, Soltek EQ3401 Barebone.

Solteks motherboard supports DDR 400, up to 2GB.

I re-use my IBM 40GB harddrive, DVD/CD drive, and floppy from my old computer.

The main problem I have is the MEMORY.  The first time I turn on my computer, Bios shows 512MB of memory, and the computer does scan memory for 512MB.  As soon as I restart the computer, the Bios detect 1MB less, to 511MB, and computer only scanned 511MB.  I restart few times already, and only have 503MB memory left.

Here's the reason why I have to restart my computer.
The problem I have is, I can't install the XP I orginally had.  I had the experience of re-format harddrive and boot up from CD drive to setup XP.  Did it few times with my old computer.  But it doesn't seem to work with the new computer.

The new computer boots from CD-drive, CD-drive the spin, and XP CD does attempt to loadup for installation, but the blue screen never show up, and screen just go black, then CD drive stop.

I'm pretty sure CD-drive is working properly.  Since the flopply works, I tried the "OnTrack emergency disk 2000" I had long ago.  Then it pops up following message:
memory manager (EMM386.exe) has detected an error caused by a fault in one of the devic drivers or programs loaded in the system...............

What's happening with my memory??  it's new.  I wear anti-static wrist strap when I was working on it.  In Bios, I set memory to 400hz, later, I change it to "auto".  the options are 233, 333, 400, auto.
Is my memory the problem that I can't install XP???
