New Motherboard/CPU Setup problems

First of all I will start with an inventory of parts I am using.

Mobo: 865PE Neo2-P(New)

Processor:Pentium® 4 Processor with Hyper-Threading Technology 3.06GHz Socket 478 533MHz Frontside Bus(This is new also thought the salesman said it was a prescott yet I don't see it on there site describes as one)

Hardrive: 120 gig maxtor XP pro (from prior system)
Memory: 256 DDR 226, 512 ddr 226 (from prior system)

Rage Pro 8mb pci video card.(new)

400 watt ultra power supply

Like always I got my antistatic matt and put the system together outside the case. When the computer boots up it gets to the screen were after you had a bad shutdownit ask do I want to start windows normally safe mode ect. If I click yes it starts to go then I get a reboot. If I go to safemode it starts loading the multidisk files and then it reboots. If I was to walk away from the computer it would just keep rebooting going through the same steps. I can get into the bios and stay in there without getting booted. I looked for incompatibility issues and couldn't find anything, I also trieda different video card and tried it with 1 memory module at a time. Does this point to anything?? Appreciate any help
