I am assuming you have access to the router to configure it, so can you not use telnet or ssh to manage the router? Is there a specific reason you want to be able to manage it out of band?
I would imagine that out-of-band mangement would be a DR contingency for the device in question.
I know thats how I setup all our Cisco gear.

i havent configured the switch yet, i dont know what configuration its set
I'm pretty sure you need a cable kit like this one - http://cgi.ebay.com/ws/eBayISAPI.dll?ViewItem&item=370149246764 - part# ACS-2500ASYN when included with the switch, or ACS-2500ASYN= when purchased separately.

Are you using the blue DB9 to RJ45 'rollover' console cable? COM port set to 9600, N,8,1 or 8,N,2 ?
Here's a general cabling guide, but it's hard to send you to specific tutorials when we don't know what switch you have.
