cant  run a prescott 3.0ghz cpu on my P4S800

Hello I have a problem with my system I cant seem to run a prescott 3.0ghz cpu on my P4S800 board, I have seen the solutions posted elsewhere such as the asus forum and other places on the internet but they're not working for me.  I have the latest bios (1011.001)

I am running 1gb twinmos pc3200 ram (cl 2.5).  My system will *sometimes* start after installin the 3.0 ghz/m/800 CPU

prescott cpu but not always it'll sometimes also not even post and just 'hang'....

when it does start it'll sometimes tell me:

"The system hung due to improper CPU setting"  this even though I have used the 'clear cmos' jumper to reset back to defaults.  

other times it will start and go to windows ok but when I go to shut down it'll appear to shut off but wont turn off and it'll hang on a black screen and i cant turn off the computer without shutting off the power going to it.  It wont turn off even if i hold the poweron button in for many seconds and the only way to shut it off is to turn off the power at the back of the tower using the switch on the psu or else at the wall socket.....

what is happening here ?  I hope someone can help me this is annoying !
