P2V conversion fails with SCVMM 2008

I have a physical windows server 2003 std box running Exchange 2003.  I am attempting to do a p2v conversion over to a Windows server 2008 std running Hyper-V.  I am trying the conversion using SC VMM 2008.  The VMM is running on the same server as Hyper-V and is also a DC.  This server is NOT in a cluster.  When attempting an online conversion I was able to get to a total status of 44% before receiving the following error:

Error (2927)
A Hardware Management error has occurred trying to contact server DC2.Domain.local.
 (Unknown error (0x80338029))

Recommended Action
Check that WinRM is installed and running on server DC2.Domain.local. For more information use the command "winrm helpmsg hresult".

When I type in "winrm helpmsg 0x80338029" at the command prompt I receive the following message: "The WS-Management services cannot complete the operation within the time specified in OperationTimeout."

I found one post that suggested enabling disk caching.  I did this and went from the initial of 40% complete up to the 44% completion.  I have no idea what to do to get the P2V working.  The only info on this error I've found elsewhere have been related to clusters which is not applicable to my environment.  I've attached a screen shot of the completion details in the event this may help identify an issue.

I looked at the pages posted.  The first page does identify a number of known hyper-v issues, some related to vmm.  The issues described were not similar to what I have going on.

I did initially have a port conflict issue, I was able to fix it so I know that's not the problem here.

VMM is on the same server as the Hyper-V host.  It is Windows Server 2008 Std w/SP2.

Oh, since this is a DC you really should do an offline conversion. I would recommend this will all servers. Give that a shot

I've tried an offline conversion.  The problem is that the source server is a somewhat older Dell server and I am unable to find compatible drivers for the RAID card.  When I tried it I recieved a message indicating I needed to find windows vista compatible drivers for the CERC SATA 1.5/6ch RAID Controller.  Dell has not released any drivers beyond Windows XP for this controller.  The Windows PE loader doesn't support the XP driver.  Do you have any ideas of how to work around that?

Interesting, maybe try the manufacturer for the drivers. You can also try starting up in directory restore mode and stop all non microsoft services and try the online conversion again

So I finally got it to work.  I upgraded to VMM 2008 R2 and was able to get the data copied over but the vm wouldn't properly create.  After restarting the server and stopping all Exchange, IIS, BES and those dependent on these services and rerunning the p2v process it worked 100%.

I didn't need to use directory restore or hunt down valid drivers, I did it as an online conversion after hours.
