On Screen Display using VLC ActiveX

Hi,
I am using VLC ActiveX on a VB.NET 2005 application, used to display some multicast channels.
Instead of the embedded fullscreen feature, a "hybrid" fullscreen display is implemented by fully expanding the panel the ActiveX resides on.
That way, key presses are still processed by the application and labels can be displayed on the video.
However, even with transparency set, the labels still adopt the back color of the underlying panel.
Other controls also fail to be transparent, that is, show the video as background.

Even though I managed to create a real(transparent) On Screen Display, by showing a transparent form on top of the video form, I would like to ask :

1. Is there is a simpler way of accomplishing OSD on VLC?
2. Does the control itself implement this functionality?
3. Is another control more suitable for OSD?  

If not, what is the safest way to make the on-top transparent form keypress-transparent, that is, all key presses should be passed directly to the underlying video-form.
I found how to make a form mouse transparent using API, but not key transparent.
