I need to migrate two 2003 DCs to 64bit 2008 DC while keeping the same name and IP.

Looking for general outline of process to complete this task.
1 DC is a physciall box. The other is a VM.

Sorry, I was under the impression the VM was on the same hardware as the physical DC and that if the physical box went down, both would be unavailable. (Of course, it would be unwise to have the VM on the same physical box when both systems perform the same functions...).
So yes, if they are are on different physical hardware, you could just do one at a time without a third temporary DC.

Kidding - but I hate when people demand things that really are unnecessary in a properly configured environment (I assume this is a properly configured environment).
Outline:
1. create a temporary DC with a different name and transfer all roles and services to it (not entirely necessary if you already have a 3rd DC somewhere; then just transfer the FSMO roles and services as necessary.
2. Demote these old systems and then change their names and then IPs.
3. Install the new systems and use the existing names (make sure to reset the computer accounts FIRST!) and IPs
4. Promote the new systems to DCs, transfer back the roles and services.
5. Demote the temporary DC and remove it from the network (assuming you created a temporary DC).
