Best practice is to set the share permissions to full controll for everyone and then set the ntfs permissions to control who gains access and what type of access they have.

yes my pc is NTFS, so how do i set it up right so people have to enter password to see it?
Assuming you are in a workgroup environment:
XP pro: I disable simple file sharing (not an option on XP home). To do this:
My Computer > Tools > Folder Options > View tab (scroll to bottom and uncheck simple file sharing).
Next, Create the user account you want people to use to access the share on your PC - Lets call this "joe"
Control Panel > User Accounts > Add User Then Create a new user named "joe" (or whatever and without the quotes) and give it a password
Next, navigate to the folder that you want to share. Right click it and select sharing and security or the properties option. Click the sharing tab, Select the "share this folder option" then click the permissions button. There should be an entry there with the "Everyone" group checked. Go ahead and check the other 2 boxes there to give the everyone group full control. Dont worry, the NTFS security you will set will lock down the access to those you want.
Now click the security tab. Leave all the default entries the way they are with the exception of the Everyone item. Click the Add button and then type in "joe" or whatever user you created previously, then click the "check names" button. If you did this correctly, the name should be underlined and completed by the system. Now click OK.
This is where it gets a bit tricky. Select "Joe" and then check off all the things you want that user to be able to do. Read, write, full control - that's up to you.
Lastly, select the Everyone group here and then the remove button to get rid of that entry. You are done. If this worked, users should be able to navigate to your PC, see the share, and then when they go to access it they should be prompted for a user name / password. Have them use the credentials you set up for the "joe" account you created earlier.
Hope that helps.

If it is peer to peer, looks like you may have missed a step or two.
Step through each & every step - verify & implement.

Yes, Caiapfas, jatsw is correct -- if you follow the steps precisely, it will work.
You may want to set everything back to defaults & start fresh.

windows sucks, you cant password protect it without "2000 server" plus xp premissions SUCKS. my advice dont screw with it. just messed me up complete. either go lynx or 2000 server.
