I believe I know how to import it, but I was wondering if anyone knew of a utility that would convert folders to labels and retain group e-mail lists.

are you able to open the CSV file and look at it?
The Gmail format is listed here:

Make sure the file is saved as CSV. If it is an Excel file with the ".CSV" suffix, it will not work.
The CSV file format is just text. You can open/edit it in Notepad or any other text editor.

MESSAGES:
GMail can fetch mail from normal POP and IMAP accounts.
Yahoo does not support POP or IMAP.
There are some workarounds for accessing Yahoo via POP/IMAP, 3rd-party add-ons, but may not be supported.
