Thanks to all for their input - I actually solved the issue myself before I left for the evening. Here's what I did:
1. Loaded Service Pack 6 just incase it was missing additional information. I did this first because SP6 is a very large upgrade and replaces many of the system files anyway. Ecountered some errors while attempting to copy/replace files NTLDR and NTDETECT. Although the files were present on the PC and the restore SP6 CD, I manually copied these files around so the remainder of the upgrade could continue.
2. Same problem but also notice major conflicts with COM port config. Conflicting IRQ's. Ignored this for now and went to Network Neighborhood and remove Remote Access Services. Performed a reboot, then added Remote Access Services using the original NT 4.0 CD. However, at complettion it indicated I had no com ports.
3. Deleted all com ports and recreated COM1 and COM2 properly. Rebooted.
4. Added Remote Access Services. Succussful!. Modem hooked to COM2 also was recognized and I was good to go.
5. Q: Should I reload SP6 again? It seems fine now.
Thanks.

1) I would simply do a repair install of nt and the service packs after creating an ERD floppy, and backing up data as a precaution.
If that does not work then you have more serious issues, and I would see if you can reinstall the IBM 8235 remote client with something like the PCMAG InControl program install monitor that shows all registry and file changes.
I hope this helps !
