Need to put old Windows2000 server onto network with Windows2003 server that has the same name.

I need to get an old Windows2000 server onto my network with a Windows2003 server that has the same name.   I'm not sure if I need to rename and/or demote old Windows2000 domain controller server.

Here are the details:

I have a Windows2003 Server named: SERVER1.MYCOMPANY.local (192.168.3.201/255.255.255.0) which is the only server on my network, it is a DHCP, DNS, AD, WINS, File/Print and Database server.

I need to bring in another older Windows2000 Server named: SERVER1.OLD.local (192.168.1.2/255.255.255.0) which was the only machine in the domain: OLD.local and was the domain controller and a database server.  There is a database (SOLID if that matters) on this old server that  the computers need to access.

Currently, the two networks, 192.168.3.x and 192.168.1.x are joined via a LinkSys router.  The server and all the clients on MYCOMPANY.local (192.168.3.x) can access the OLD server via IP address sucessfully, except at a very slow speed (10mbps) because it through the router.

I need to get this old server onto the same Gigabit swtich for access performance reasons.

If I change the IP address of the OLD server to 192.168.3.200 and plug it into the main switch, I get a "Windows System Error, A duplicate name exists on the network. " because I have two servers with the same name, SERVER1.MYCOMPANY.local and SERVER1.OLD.local

I can't rename the SERVER1.OLD.local because it says that it's the DC and the name can't be changed.

How can I change the name to something like SERVER0.WORKGROUP or SERVER0.MYCOMPANY.local?

I don't really have any need for the OLD.local domain and could get rid of it entirely.  The old server could exists as a standalone server in a workgroup, if necessary. Should I demote it?

What's the best way to do this? Should I demote ithe old server and then change it's name? If so how?   The old server is pretty old and fragile and I suspect that the fewer changes we do to it the better.
Can I keep the OLD server name as is, keep it's IP address as 192.168.1.2, and simply  change the subnet mask on the clients to 255.255.0.0 to be able to access it on the same switch?

What's the best way to connect this old server to my network, so that computers can access it's database?
