Replace first DC from a 2000 domain

Hello everybody!
We want to migrate our Windows 2000 domain to a Windows 2003 server domain. In this process we also want to replace the Hardware of our Servers.
actual configuration: We have a single forest 2000 domain with two DCs
what we want to do: We want to replace the serverhardware of our first DC and migrate to server 2003. we do not want to replace or upgrade the second DC. so the new situation should be: same AD domain, only one DC on new hardware with server 2003.
is this possible by doing a new installation on the new server, replicate sysvol, pass the master operators an GlobalCatalog and taking down the old servers? or do we have a full restauration of one of the DCs on the new hardware and upgrade?

Yeah. this is possible.
- Install Windows 2003 Server. And use DCPromo to make it as a additional DC of your Domain.
- Then transfer your all FSMO roles.
- When you're sure the new server is functioning and the event logs are clean, DCPROMO old DC and remove from domain.
