But their site said IOS release 12.3.(7)JA or earlier. All that is available there is 12.4 releases...I did download that and tried it using the mode button and it grabbed the IOS from my TFTP server but did not allow me to telnet or http into after it's reboot.
I must be missing something.

As long as you choose a 1250 autonomous release (k9w7) from Cisco's website, you should be fine when doing the conversion.
port/downl oads/go/Re direct.x? m dfid=27887 5243 . Search for 1250, then go to IOS Software

You can also do the conversion without a mode button reset by using this CLI command:
archive download-sw /overwrite /reload tftp://location/image-name
