Everything I find says it is a Vista only gadget..
"Vista gadget that will show on your desktop or sidebar the current CPU and RAM usage

I saw one place say XP but then it said they couldn't get it to work.

You have to have Windows Vista, as that program is a gadget for the Sidebar. If you do have Windows Vista, then just double-clicking the file will ask you if you want to install it.
