In-place upgrade Windows 2000 to Windows 2003

The scenario is as follows:

1. Parent domain company.com is having Windows 2003 DCs, however forest and domain functional level is Windows 2000 Native due to a legacy application requirements.

2. Child domain child.company.com is having Windows 2000 DCs, and domain functional level is Windows  2000 Mixed Mode. The DCs are running DNS service. I am not sure why it is in mixed-mode.

Child company wants to do in-place upgrade of their DCs to Windows 2003 Server R2.

I am thinking of:

- Doing a full backup of the child domain's DCs' drive C: and System State
- Backup all GPOs using GPMC
- Run /domainprep on the infrastructure master DC
- Move all FSMO roles to another DC
- Upgrade this DC by using Windows 2003 Server R2 CD
- Make it GC, then wait a day for replication to happens
- Move FSMO roles to this new W2K3 DC
- Upgrade the second DC
- Restore GPOs

Questions:

- Are the above steps correct?
- Is my backup sufficient to do a roll-back if something goes wrong?
- Is there anything I should check first in the parent domain?
- Which one would have a better result: demoting current Win2K DC, clean reinstall the server with Win2K3, promote it to DC    or   in-place upgrade?
