need steps to add a new 2003 R2 domain controller to a network that has 2000 domain controller running Exchange 2000

I need the steps to add a new 2003 R2 Server as a domain controller (so i can move to exchange 2007) on a network that has 2 - 2000 domain controllers one of which is also running exchange 2000.

tried addprep \forestprep on the main domain controller from the 2nd cd for 2003 R2 and it failed :
C:\ADPREP>ADPREP /FORESTPREP

Before running adprep, all Windows 2000 domain controllers in the forest should
be upgraded to Windows 2000 Service Pack 1 (SP1) with QFE 265089, or to Windows
2000 SP2 (or later).

QFE 265089 (included in Windows 2000 SP2 and later) is required to prevent poten
tial domain controller corruption.

Need to know what to do with exchange so I can run addprep on the boxes.
