Yes, the commands are different. The changes made to Active Directory by the Exchange commands (which are actually "setup /forestprep" and "setup /domainprep") are specific to Exchange, while the two adprep commands make other changes that are not directly relevant to Exchange.

Probably not, but it is not going to hurt. You can try running the DCpromo, if it doesn't have all the attributes it needs in AD, it will not allow it. At that point, you can run adprep from the 2003 CD.
Also if you are going to 2003 R2 you will definitely have to re-run adprep.
