Dcpromo is failing....

Active directory could not transfer the remaining data in directory partition DC=DomainDNSZones to Domain controller \\server02.mydomain.com.

The directory service was unable to transfer ownership of one or more floating single-maser operation roles to other services.

I have already transfered all FSMO roles sucessfully and removed Exchange from this server as well. I just need to demote it and then reinstall the OS and re add it to the domain. I would rather not do a forced removal as I do not know how that would effect the domain.

Eureka! OK looks like the solution was to remove DNS on server01 then use server02 to resolve dns during the AD Removal. Also I used the GUI instead of DCPROMO. Not sure if that process is any different.

You do not have to remove DNS just change the DNS servers in the IP Properties on the server to point to another Domain controller.
