Upgrading Existing Windows NT 4.0 Domain to Windows 2003 Domain with Active Directory + Terminal Services

Hi!

We have a subsidiary in another country with the following network:

Windows NT 4.0 PDC (User Accounts, WINS)
Windows 2003 standalone (SQL Server 2000, File Server, DHCP, DNS) - EXISTS
Windows 2003 standalone (new server which will be used redundancy - replica of SQL-Server databases, File Server, DHCP, DNS, WINS) - TO BE YET IMPLEMENTED
+25 Windows 2000/XP Clients

I have to achieve the following scope:
1) Upgrade existing Windows 2003 Server (SERVER01) to domain controller and set up an Active Directory and get rid of existing Windows NT 4.0 PDC
2) Upgrade second Windows 2003 Server (SERVER02) and set up the same services as on SERVER01 for redundancy purposes.
3) Set up SQL Server 2000 on SERVER02 to replicate data from SERVER02.
4) Set up SERVER02 to replicate user files and folders from SERVER01.
5) Install Terminal Server on SERVER01.

I have the following questions that I need to clarify.
1) When I run dcpromo on SERVER01 once the server is restarted will all user accounts be replicated from existing NT Server domain controller?
2) Can I install terminal server in a production environment, i.e. will that affect users connecting to Navision database (or SQL server) from LAN or I will need to reinstall SQL Server, Navision and other applications? Or is it better not to install Terminal Server on a machine where I already have a SQL database running?
3) Now I have a VPN access and I can connect via RDP or VNC to existing network, will I have to configure RRAS on SERVER01 once it becomes a domain controller?

Please, let me know if there're any other issues to keep in mind prior to implementing this project.
