I have an unbranded 64-bit Xeon Server, on which i have windows 2003 32-bit. I want to install windows 2003 server 64-bit on the machine, but i do not have CD-ROM drive available for the server. Can anyone please guide me how to proceed with a clean installation. I just want it to be up and running with windows 2003 64-bit enterprise.

Your best bet is to install a CD-ROM drive on a temporary basis as you need to do a clean install (you cannot upgrade from 32bit to 64bit). In theoty you could copy the files to a network drive then install from there - but you have to be able to connect to the network share. Grab a CD-ROM drive from another machine and use that - its easier.
Make sure you have 64bit drivers before you do anything else.
