BSOD on restart Server 2003 R2 SP2

I have a 2003 Server R2 SP2 that will blue screen when I go to restart the server.  The server will start to shut down and will almost get there, then BSOD.

I have went through the minidumb file and it says the problem is as follows in the code snipet.  I have tried to do some searches on the ntkrnlpa.exe in regards to this situation but have come up empty handed.  Any help is most appreciated!Start Free Trial
