Yep, we are fixin to drop the $245 to MS....it's $250 now? Nobody did DCPRO and that is what concerns me as "something" did. I am Guessing Peachtree software installation or the "Pervasive Peachtree server components". I am not liking the whole situation as many errors point to DNS and SA account issues.

Did you remove this server from the domain or use dcpromo on it in anyway? Dc promo events are usually seen when a server has been promoted into or removed from your AD domain. If this has happened to the machine your exchange server is on it can cause tons of issues with not only exchange but other services also. Exchange is heavily integrated into AD. If this is the case my suggestion would be to drop the $250 on an MS support call, it will be worth it in that situation. Most of the time the database can be saved ok but they may have you do a fresh install of exchange itself.
Check these first....
Make sure all of your exchange services are started.
Schedule a full check disk for you machine and let it run.
