Remove a domain controller from server 2003 and set up a new domain controller in AD

We recently purchased a Dell Server with windows 2003.   We would like to remove the old domain and install our domain on this machine.   The old server is about to be removed from the network, its over 6yrs old.  

This dell is only 6 mos old and want to get it up and running without re-installing all the software.  Thing works fine.  Great machine.
