Promoting and demoting domain controller

Hi
I have a new server and I want it to take over as DC from an old long suffering PC.

Its W2003 network and the domain controller stopped behaving properly recently (it is a pentium 2 450).  

I want the new server to join the existing domain and then take over as DC.

What is the procedure for doing this?
