Implement new server into domain - SBS2003

Hi,

I have a 20 user network.  Running SBS2003 + Win2000 server.  Both DC's in same domain.
The SBS box is to be removed and retired.  A new SBS2003 R2 server is to take its place.
In basic terms what is the best way to implement the new server.  
Demote the old one, join the new one to the domain and promote and take over all the roles of the old one?  OR setup new domain on new server, re-add win2000 server and all w/stations, etc.
