Cannot join 2003 server to SBS domain, while 2000 server can

Hi,

I have a strange problem with member server in my SBS domain.
- First, my SBS domain controller is on distant location, connected with ROUTER-to-ROUTER VPN tunnel with my other location. PING between locations is quite good and stable (19 to 22 ms)
- on my OTHER location I had OLD Windows 2000 Server on old HW, now I bought new HW, and setup Windows 2003 R2 SP2 server

I first installed new Win 2003 server, and joined it to SBS domain. What I noticed at first, I had problems and problems adding it to domain, because I've got bunch of "DNS timeout" and "LDAP query timeout" failures. I rebuilded FRS and SYSVOL share on SBS, but did not help. But then, after my 25th try, I managed to join new Win 2003 to domain.
But "Applying your personal settings" when logging to new Win 2003 server took 2-4 minutes, veeeeery long, and too long.

I tried then with old Win 2000 server, un-joined it from domain, removed computer account from SBS AD, waited 2 hours for SBS to purge old records, and rejoined it back to SBS domain. Win 2000 server joined without problem, and logging into it was quick and smooth.

But with 2003 I still have problems - when it is in WORKGROUP, it is fast and logs on fast, but when joined to domain, log-on becomes pain in the ass.
Un-joined it few times, I even formated it and buid up from stratch, changed UTP cables, changed Switch, tried setting NIC to "auto negotiate" or "100 Mbps Full Duplex", I even changed NIC's MAC address to match old server, I matched IP settings to be exact the same as on my old server, I removed old one from network......but nothing helps! Win 2003 server logging to domain is incredibly SLOW, and Win 2000 server is blazing fast.
None of the servers has DNS nor DHCP server setup.

Any idea what else should I check?
