I do not believe R2 supports upgrading 2003 - though I'm not sure about that. Honestly, everyone I know STRONGLY URGES you NOT to do upgrades and to instead, install cleanly. It's safer on a variety of levels.

You can do a in-place to R2 if your current server is Windows 2008 64-bit edition. If your current server isn't 64-bit then you won't be able to install R2 you would have to do a clean install of Windows 2008 R2 64-bit edition.
