I see 3 files in that directory: ntldr, startrom, startrom.n12. Am I suppose to do some kind on setup ro copy those files to the client?

Then I see it looking for the dhcp server, after that point I receive an error (pxe-e53 (no boot file name received, then I get this information pxe-mof (exiting Intel Boot Agent

Where would a I find or create this boot file name?

Sounds as if you are having some issues with the NIC card's PXE support. Can you determine for a fact whether or not the NIC card functions properly?

Deploy Windows 2000 via RIS with newer Intel NICs (VE, VM, etc)
Download the new drivers from Intel (I'm assuming you are using a Intel GE NIC)

Be sure to download the correct driver for your NIC.
Extract the files to c:\IntelPRO
Browse to C:\IntelPRO\PRO1000\WIN2K
Edit a copy of the e1000nt5.inf (replace [Intel.NTx86] with [Intel]).
Save this file to your RIS image i386 directory
Copy the files from C:\IntelPRO\PRO1000\WIN2K to the following locations of your RIS image
I386\
e1000nt5.sys, e1000nt5.inf (edited for BINL parsing)
I386\system32\
e1000nt5.cat, e1000nt5.din, e1000msg.dll, intelnic.dll, PROUnstl.exe
I386\inf\
e1000nt5.inf
I386\system32\drivers\
e1000nt5.sys
Add the OEM drivers as per MS instructions (copy the C:\IntelPRO directory to your $oem$ NIC driver directory).

Notes:
The e1000nt5 driver was not supplied with Windows 2000. This isn’t surprising being that the hardware didn’t exist when the media was made. The BINL parser checks the current NIC against the inf’s in the i386 directory, and when it doesn’t find a match it stops. By editing the e1000nt5.inf to be BINL parser friendly and placing it in i386 you enable RIS to boot with the updated driver.
I too am experiencing this problem. Although the PCs did work a while back. The thing is my laptop works fine and finds the RIS server without any trouble at all.
I downloaded the updated version of the NIC driver for my PC as they were using Gigaport (e1000nt5.inf). But the reason i downloaded this driver was because when i tried to install the OS or Image it would display an error like:
You do not appear to have the correct network driver installed
Or along those lines. I can't even get to the part where it asks you to press F12 to go into the blue screen wizard.
I have also tried reinstalling RIS from scratch and recreating the computing accounts but still no joy.

Check the RemoteInstall\OSChooser\I3 86 folder. In this folder you should have the files necessary to run the client installation wizard.
