Exchnage will be fine - the fact it not no a DC is GOOD NEWS.
Don't forget:
If the new Windows 2003 server is the R2 version and the existing set-up is not then you need to run Adprep from CD2 of the R2 disks on the existing Domain controller. Adprep is in the \CMPNENTS\R2\ folder on CD2.
If its the standard Windows 2003 then adprep in in the i386 folder
In neither event Place the 2003 CD in the Win 2003 DC and run
Adprep /forestprep
once in the forest (on the schema master)
Adprep /domainprep
once in each domain that you want to move to 2003

I don't think there is any relation. Remember you have to updrade the schema to upgrade AD from 2000 to 2003.
