Server service - access is denied, why happen, how to fix

I have a Virtual Machine, Windows 2003 SP2, It was working fine, until I got some errors which pointed to the Serve service, since then it is down and when I try to start it I get access is denied - Error 5. Some time restart will help but only for a day or two.
