BATCH FILE: Find File, rename it and replace it with another predefined file

Finding a file and replacing it with a new one present in a predifuned location.
I would like to find a file rename it to some name say old_filename (say for example c:\program files\file1.txt)
and then copy over the file (at say from a server location \\server\\share1 ) to the same directory (c:\program files)

1. Find a file
2. Rename it for safety purpose
3. Copy file from a predifined location to the location found be step 1

Repeat steps 1,2,3 for all multipe files found in hard drives ( guess this can be restriced to c: and D:)

This question is urgen, so 500 points...
