Bios states "Physical Memory 4096" & "Usage Memory 3328". Windows Vista shows 3326.  Why the discrepancy?

I have the MSI P35 Platinum motherboard which says that I can support up to 8GB of memory.  I have 4 X 1GB DIMMs.  When I enter the bios it shows the following:

Physical Memory: 4096
Usage Memory: 3328

When I boot up into Windows Vista I get 3326 GB of memory.
