All program icons will stay in place and still be valid? Data is safe too? I mean I have backups but I would like to make this as easy as possible so I just insert the Ultimate disk in windows right?

Its always a good idea to have a backup. You just insert the disk and enter the Ultimate Product key, when prompted. All of your data and settings are retained - use the "Anytime Upgrade" to get a new key and you can use your existing DVD. The Vista DVD contains all the Vista Versions, which one gets installed depends on the key.
