Vista Update KB938371 fails with error 0x8000FFFF

I just reinstalled my Vista Ultimate box (SP1) and I cannot get KB938371 to apply.  It gives me error 8000FFFF.  I have tried disabling my AV (AVG Free), I don't have Spyware apps at the moment (this is nearly a clean install still), and I have tried applying the update manually through a download from the MS Site, but I get the same error.  I have also tried deleting the \windows\softwaredistribution directory and re-patching - same error.. this is driving me nuts.. this happened on a CLEAN INSTALL of Vista Ultimate!  Never had this problem the first time I set up this Vista box, many months ago.
