Win XP Home Upgrade won't allow disk reformating?

I've been trying all day to get a Win ME laptop converted to a Win XP Home via a clean install.  I have a new copy of XP Home Upgrade wiht SP 2 included.   I did get it installed, but it was not a clean install as I could not get it to format the disk.

I tied telling the disk to format the drive, but all the old files remaind.  I've tried using the Recover Console from the Win XP CD-ROM, ran the format commands, receive no errors, but all the old files remained.  I tried using the MS Disk Managment (compmgmt.msc) utility, but it would not format the system partition.  

Is this inability to format the disk using XP Home a characteristic of the upgrade version of is my PC just weird?
