I need help in solving the following blue screen which occurs on my system periodically :-

Looks like its a memory issue.
Try changing memory modules, to see if one is faulty.

From what I have read problems with "ntoskrnl.exe" seem to happen when converting a HD to NTFS or when upgrading OS. The error has to do with your boot.ini which needs to be adjusted to the correct partition or else copy over ntoskrnl.exe from w2kpro CD.

The majority of times I have seen this error it was a driver issue.  Have you changed any drivers, or installed any new hardware recently ?  Does this occur when you try to boot into safe mode ?  If you can't boot into safe mode, and you changed a driver recently, you can try using the command console to manually roll back the driver.

LMFAO - Lots of different responses and here is my 2 cents worth, because I had this problem once and it was simply because the machine was over-heating!

Try running the machine in a cooler enviroment with the case sides off, if it make sa difference, GO get a new heat sink and fan :p

I had the same error, and it was a CPU problem! It was a dual proc machine, and one of the cpus were malfunctioning. I swaped it out for another one, and i had no problem ever since..
I remember at the time looking up the error, I got all kind of different remedies, just like this post has.. looks like this error is a very general one.

I'm dealing with a smimilar problem myself.  Can't really track it down...really pissing me off

I have a dual proc system also, but 1 of the CPUs "got fried" and I have no more to swap

I've heard from 2cpu.com of people having this problem with ATI RADEON cards

by: FreedomFighterPosted on 2003-02-07 at 09:03:55ID: 7904329

Hmmmm...
Well I don't have a Radeon card, but as I will re-iterate my problem was with the CPU overheating.

The full solution for me was yanking out the CPU, and inspecting it. Finding no evidence of damage I reinserted it and put a bigger heatsink and fan on it and since I have not had a problem, so I really will advise for you to check the tempearture of the cpu using your bios system.

If you are hanging around 65C u are in some trouble, anything below 60C is fine and 78+ will start to do damage to your CPU so don't let it get that high :p

I ran my machine with the case sides off for a few days and there were no problems.  I put the sides back on and the problem started again.  I then checked out the heat sync and it was full of dust like wise the fan.  I removed the fan cleaned the heat sync and fan, put the machine back together and i have not had the problem since.  Cool
