Patience might also clarify if it really won't shutdown or if it's takeing 1 to 3 minutes longer than usual:
Windows 2000 and XP by defualt will send the shutdown query then do nothing while they watch until all processes are gone or for 20 seconds (you can change this time) whichever is shorter. Then if a process is hung like this it will either attempt a soft kill or ask you if what to do (based on settings). If you say to end it or it is set to end it automatically, another 20 seconds is allotted for the process to see the soft kill and clean up for itself (you can change that time also).
Then (40 seconds or more after shutdown was clicked is a LOONG time when you're watching the screen and not the clock) the system should shutdown smoothly as ever.
If you cannot fix the program to die nicely as suggested above and you're SURE everything else dies well in 5 seconds, then you may want to go to www.winguides.com and search for "Automatically Close Non-Responding Applications on Shutdown" for info on changing the timeouts to end the task to 5000 (5 seconds). Then search for "Specify the Timeout for Non-Responding Applications" and change that to 10 or 15 seconds (10000 or 15000).
It will be up to you to remember to save your files before shutdown or be able to click "save" within the 10 or 15 seconds you allowed yourself when the program's response to the soft kill pops up a dialog box.
(\o/) good luck,
2K
Actually PSSHUTDOWN from Sysinternals work quite well. It solved problems like you mentioned for me very well. Do include the option to logoff console user as well and I am sure your system will shutdown properly. Try it.

Use PsKill: http://www.sysinternals.co m/ntw2k/fr eeware/psk ill.shtml
and enable it during the shutdown sequence:
Start->Run->Gpedit.msc
Computer Configuration\Windows Settings\Scripts\Shutdown
Set up the script to be something like this:
@PSKill processname
