Did you do this

Boot to the Recovery console and run this command

chkdsk /r

Starting the Windows Recovery Console
To start the Windows Recovery Console, use any of the following methods:
Start your computer by using the Windows Setup floppy disks or the Windows CD-ROM. At the "Welcome to Setup" screen, press F10 or press R to repair, and start the Windows Recovery Console.

Did you do this

Test the RAM

If you can swap out the RAM with known good modules for testing first if you can't do that then test the machine with one RAM module at a time until you tested every module. Other wise run the the following RAM testers.
--------------------------------------------

NOTE IF THIS DOESN'T FIND ANYTHING WRONG WITH THE RAM THIS DOESN'T MEAN THE RAM IS GOOD you would need to swap out the RAM with known good modules for testing. However if it does find something wrong then chances are the RAM is bad.

AH heck can you get into safe mode and do this

HOW TO: Restore the Operating System to a Previous State in Windows XP
http://support.microsoft.com/default.aspx?scid=kb;en-us;306084

Log on to Windows as Administrator.
Click Start, point to All Programs, point to Accessories, point to System Tools, and then click System Restore. System Restore starts.
On the Welcome to System Restore page, click Restore my computer to an earlier time (if it is not already selected), and then click Next.
On the Select a Restore Point page, click the most recent system checkpoint in the On this list, click a restore point list, and then click Next. A System Restore message may appear that lists configuration changes that System Restore will make. Click OK.
On the Confirm Restore Point Selection page, click Next. System Restore restores the previous Windows XP configuration, and then restarts the computer.
Log on to the computer as Administrator. The System Restore Restoration Complete page appears.
Click OK.

EITHER YOU HAVE A VIRUS -- - OOHH!!! -- A VIRUS -- OR YOU HAVE A CORRUPT PROFILE.  EITHER WAY, YOU ARE GOING TO HAVE TO WORK AT IT>

Forgive me if I duplicate anything that has been posted aforehand - I did not read the books that were planted here.
But, I would say that in my experience I have seen this error caused by bad memory.  A virus is certainly suspect, but if you can get into safe mode, it is less likely that is the culprit.  Do you happen to have extra RAM floating around that you can install in this system?  If so, try that out, and/or pull out any additional memory.

I do not recall seeing what type of operating system is at work here...but this has helped me many times in an XP and 2000 environment...try these steps if you can get into recovery console...

Select OK when you get the error. Then hit ctrl-alt-delete and start the task manager. Go to the file menu and select new task. Browse to the winnt folder and click on explorer.exe. This should get you back into a workable situation. Install the latest service pack or replace the currupted .exe files. (userinit.exe) Good luck.

If the file Userinit.exe  is a problem and you do not know what its for it is used, go toWindows Explorer, Tools. Type in Userinit.exe  and find where it is located. Then click on it and rename it with REM in front, It the probem disappeard and does not affect anything then it is useless. If it is there extract a new copy and replace it

c:\windows  extract  a\  \L C:/tEMP BASE4.CAB  Userinit.exe

You can check if it is a microsoft program by makinf a temp file and extract it. obviously if it is not in the microsoft data base, just remarket. Here is how you can check in five minutes

Hope I did not confuse you, I have had my coffee yet.

2. download ad-aware and "hijack this"
3. run them and post hijack this log here
