Svchost.exe using 99% of CPU and Windows Update

Recently i discovered my Dell desktop (GX280 with XP PRO)  svchost.exe was using 99% of CPU.  When I terminate the process it stays off until I reboot.  Also, unless I turn off Microsoft Update, it will not shutdown normally. When Update is turned off it will still show 99% CPU used.

I have seen many discussions of this on web but no simple fix. I uninstalled SP3 but it still shows 99% CPU at startup. It seems to be related to Windows Update Service and / or Microsoft Update. Thanks for any help
