im giving away all my points for an answer to this question

Here is my "rig"

Gigabyte GA-7VAXP
Athlon XP 1800+
GeForce4 TI4200 w8x AGP
512MB DDR PC2700
20G 7200RPM -- OS
80G 7200RPM -- Storage
WinXP PRO w/ SP1
F11 bios (latest)

Im using the built in sound & NIc so the only card i have is the AGP..

Here is my question;
It seems that my process tab in task manager seems to attempt to delegate the resources constantly between system idle and the system process. Now i understand that the idle process should be what it is... but the system process hogs upto and including 60% of CPU time every 1 -2 seconds.  Now i know you may be thinking im an idiot at this point, but this is a big concern..  Before you ask here is what is loading according to msconfig ..  NOTHING... i know you'll say what services are running... well i open services.msc and disabled all but the essential processes.  With the same results.  I have stoped and started services while windows in running... i havent booted into safe mode to see if it acts the same.. Please help .. This is annoying.

Which of the processes is taking up the resources, or which processes?

okay..this is freaking weird..  If i end the system process... then the problem stops... what process am i really stopping?  I can still select system in the taskmanager... but i obviously stop the problem.. any ideas for the underlying cause?

here is what i have figured out at this point...
Per CrazyOne  i decided to dig deeper into the driver issue. I updated 4 in 1 .. i updated lan and audio.. but here is the catch i only use headphones so when i ended the sytem process i didnt realize i didnt have sound anymore because i wasnt wearing the headphones.. So i removed the audio drivers and let xp find and install the device.. same problem. So i am installing the latest DX and if that doesnt work... i will disable the onboard and go with a card..
