Slow performance.. 100% cpu usage

Last few days I noticed in my task manager, that my cpu usage is always 100% this is unusual since i have not started any program. THe I went into task manager and checked the processes and came up with the following three processes that are hogging all the cpu resource. I dont know what they are. Please help

1. MCUPDMGR.EXE (mem... over 512 Meg... ) % usuage about 30%
2. CPD.EXE                                                     % usage about 22%
3. Guarddog.exe                                            % usage about 30%

As a result my temperature monitor is showing very high temperatures and making me really worried. I have already seen about 66 C at the processor location.
MY system is a P4 2.53 Ghz with Inter GB845... motherboard... 1 gig memory and windows XP home OS.

I am really worried. Please explain what these processes are and what are they doing and why are they working so hard. What should I do to solve this situation.
Thanks much.
Falcon.

Greetings, falcon!
I don't know what the first one is. The last two are virii.  Check for virus and adware

Housecall Online Scan
http://housecall.antivirus.com

SpyBot S&D searches your harddisk for so-called spy- or adbots;
http://security.kolla.de/

or

Adaware

MCUPDMGR...

I'm guessing you are using McAfee antivirus... this looks like the McAfee Update Manager (MCafee UPDate ManaGeR)

comment:
I believe Guarddog.exe is part of MCafee internet security package and not really a virus at all.. Program CPD.exe is what I am not sure at all. When I ran Mccafee virus scan on "MYCOMPUTEr" it did find 4 trozans.. (pic.zip, pic1.zip, 24live.zip.. vedeos.zip).... and it did clean them and deleted them. The performance of the computer has become normal once again. The CPU is not working 100% and temperatures are lot lower now. But the question still remains what is CPD.exe? How do I get rid of it? McAfee for some reason left it alone. ANy ideas?
You can try another virus scanner, like Housecall that I listed above.

Also check for spyware with the tools that I've listed above.

If you are running normal, and both AV scanners did not pick up CPD.exe, then leave it alone for now and keep an eye on it.
CPD.EXE is definitely a Trojan, according to the McAfee site--are you sure you have all the latest virus definition files installed?>
CPD.EXE is a backdoor (as i mentioned before)
http://vil.nai.com/vil/content/v_98786.htm

This is a non-specific, heuristic detection which indicates a file is possibly a new BackDoor or AOL password-stealing trojan. It is not possible to list any particulars of this threat because the samples can vary drastically. If you receive this detection on a file, send a sample to AVERT for analysis.

There are several heuristic detections of this kind - "New Backdoor1", "New Backdoor2", "New Backdoor3" and "New Backdoor4". They simply cover different classes of files.
This morning when I started I noticed once again my cpu is 100% and in the processes I see "MCUPDMGR.EXE" hogging up the CPU. I then started virus scan once again but nothing showed up. THe CPD.EXE is running in the background.. but not taking up resources like before. Yes.. CPD.EXE is definitely some trozan or something like that I read all about it on MCafee but they dont tell exactly what to do with it! I do have the very latest virus definition file by the way.
comment: After finishing Mcafee virus scan one more time, I still see the task MCUPDMGR.exe taking up almost 100% of CPU time. What it is doing is not clear at all. The problem is when the CPU is running 100% the performance in general suffers and the temperature rise to uncomfortable levels (proce. temp 60+ C!). Please help. I also found CPD.exe not taking any resource at all.
Uninstall McAfee Antivirus, reboot and check if MCUPDMGR is still running.. if not reinstall McAfee Antivirus and check again
falcon,
If MCUPDMGR.exe is part of McAfee, then you should consider using another virus scanner. AVG is free.

comment to Goldwing:
I found out that CPD.EXE is related to McCafee Firewall and not a virus or trozen.. I dont understan it!  Also I checked and the program indeed existis along with other programs with Mccafee program folder.
comment to coldwing.
I uninstalled McCafee and there are no Mcupdmgr or CPD running anymore. And when the system starts.. it only shows like 1 to 2 % usage. I plan to reinstall McCafee again and see what happens.
Comment to war1:
I downloaded the free AVG installed it and updated with latest ver. and checked my computer. It found nothing. And during that process I noticed as usual the MCUPDMGR running and hogging up resources. I wonder what the hell it is doing and sometimes.. I notice its memory goes as high as 500 MEgs. That is totally ridiculous.
Open regedit (start / run / regedit) and do a search (press the F3 key)  of mcupdmgr and copy/paste the key in here please
comment Goldwing
I dont have any string "mcupdmgr" in my registry. Then I realised, since I uninstalled Mcafee it is gone.. I think.
It should be gone...

this is the McAfee Update Manager (MCafee UPDate ManaGeR) and is trying to update the McAfee antivirus defenitions.. and for some reason not working right.

Yes I guess so. I read somewhere that some viruses act against these mcafee processes and corrupt them SO they need to be reinstalled .. may be that is what has happened. I shall reinstall and check and post in a few hours. Thanks for all the help.
Have you tried reinstalling McAfee??? and if so.. what was the result?
comment goldwing
I reinstalled Mcaffe and checked the processes. I didnt find "MCUPDMGR.EXE" or "CPD.EXE".... So those processes which were hogging the resources were infact some kind of viruses or trozens... For now everything appears to be ok. I will monitor and check for a day or two.. to close the issue.
