cpqdfwag.exe is maxing out my processor and eating up memory

Task manager is reporting that cpqdfwag.exe is utilizing 94% +/- of my cpu and the amount of memory being used continues to rise.  I am using a Compaq Deskpro ENC machine, win 2k os.  This is slowing down this machine considerably.  How do I stop this from happening?

I have removed "Precision time" and "Precision Date" from control panel and see no other program that I can remove.  Both program's reported being removed successfully.Start Free Trial
