If you are using the same output directory for your projects then you should set the "Copy Local"-property on the reference to your class library to False.

If you are not using the same output directory (which seems to work better) be sure you reference the class library-PROJECT, i.e. not the DLL. Referencing the DLL itself will make VS.NET go nuts about file versions.
Be sure you set the "Copy Local"-property to True in this case.
