Create Bat file

hello to everyone
how would i  create a bat file to search for perl.exe and return the full path where it is located

and then i want the bat file to open *.cgi location would be C:\Apache2\cgi-bin\ and open all files and search this !#usr/bin/perl and then change it to the location of where the perl.exe is located it should read like this !#C:\perl\bin\perl.exe.

i have never created bat file before so don't even now where to start some body have said create it in cgi or php but has i am a beginner the books don't tell you on how make such scripts.
can anyone help me in this matter
