How do I create an out-of-process COM component in vb.net?

Hello,

I am running VS 2005 and I need to create an out-of-process COM component.  I am having problems getting this to work.  In-Process works fine, but I cannot figure out how to make it out-of-process (EXE) so that it registers and can be found by the consumer.  I cannot figure out how to register it.  I tried regasm.exe and that did not return any errors but I still cannot set a reference to in my consumer because it is not listed under COM references.

By the way, if you might be inclined to offer a different path, this application HAS to be an out-of-process COM component because that is a requirement of the consuming class (which is the QuickBooks SDK in case you are the curious type).  Thanks for your help.

Step by step instructions (without a lot of detail) will be appreciated.
